Terms of Service

1. The Service

AigisIQ provides an AI-assisted contractor prequalification platform. The platform allows clients to configure qualification requirements, and contractors to submit compliance documentation. AI models evaluate submitted documents and generate scored qualification records. All evaluation results are informational only — see our Legal Notices for important disclaimers.

2. Account Registration

To use AigisIQ, you must:

• Be at least 18 years of age and have the authority to bind the company you represent
• Provide accurate and complete registration information
• Maintain the security of your account credentials
• Promptly notify us of any unauthorized account access

You are responsible for all activity that occurs under your account. AigisIQ reserves the right to suspend or terminate accounts that violate these Terms.

3. Acceptable Use

You agree not to:

• Submit fraudulent, falsified, altered, or misrepresented documents
• Use the platform to circumvent legal, regulatory, or contractual compliance requirements
• Attempt to reverse engineer, scrape, or extract data from the platform in an unauthorized manner
• Create multiple accounts to exploit free tiers or evade usage limits
• Use automated scripts or bots to interact with the platform without our written consent
• Upload malicious code, viruses, or content designed to disrupt the platform
• Violate any applicable law or regulation in connection with your use of AigisIQ

4. Contractor Document Submissions

By submitting documents to AigisIQ, contractors represent and warrant that all submitted materials are authentic, accurate, current, and belong to the submitting company. AigisIQ does not independently verify document authenticity. Submission of fraudulent or falsified documents may result in immediate account termination and may expose the submitting party to legal liability.

5. Qualification Events and Payment

Certain features of AigisIQ, including AI-powered qualification events, require payment. Current pricing is available at aigisiq.com/pricing.

• Payments are processed by Stripe. AigisIQ does not store payment card data.
• Qualification credits, once purchased, are non-refundable and do not expire.
• Either the client or the contractor may pay for a qualification event, as selected at connection initiation.
• AigisIQ reserves the right to change pricing with reasonable notice to users.

Note: Billing is not yet active. These terms will apply when billing launches at general availability.

6. Intellectual Property

AigisIQ and its content — including AI evaluation models, scoring logic, platform design, and written materials — are the intellectual property of AigisIQ, LLC and are protected by copyright, trademark, and other applicable laws.

You retain ownership of documents you submit to the platform. By submitting documents, you grant AigisIQ a limited license to process, evaluate, and store them for the purpose of providing the service. AigisIQ does not use your documents to train AI models without your explicit consent.

7. Disclaimer of Warranties

AigisIQ is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components.

8. Limitation of Liability

To the fullest extent permitted by applicable law, AigisIQ, LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or relating to your use of or inability to use AigisIQ, even if advised of the possibility of such damages. Our total aggregate liability shall not exceed the amount paid by you to AigisIQ in the twelve months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless AigisIQ, LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising out of your use of the platform, your violation of these Terms, or your submission of fraudulent or inaccurate documents.

10. Termination

AigisIQ reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that violates these Terms or is otherwise harmful to the platform, other users, or AigisIQ. You may terminate your account at any time by contacting support@aigisiq.com. Termination does not entitle you to a refund of purchased qualification credits.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of [State], without regard to conflict of law principles. Any dispute arising under these Terms shall be resolved by binding arbitration in [City, State], except that either party may seek injunctive or equitable relief in a court of competent jurisdiction. Class action waiver: you waive the right to participate in any class action proceeding.

Note: Governing state and dispute resolution venue to be confirmed by legal counsel.

12. Changes to These Terms

AigisIQ may update these Terms from time to time. We will notify users of material changes by email or platform notice at least 14 days before the changes take effect. Continued use of the platform after the effective date of any change constitutes acceptance.
